1. Scope and provider
These terms apply to guide prices, bookings and confirmed transport orders placed through x25pronto.de. The contracting party is Management Consulting Mayr, Waldaustrasse 2, 9500 Wil SG, Switzerland. Mandatory Swiss law, including the statutory rules on contracts of carriage where applicable, remains reserved.
2. Offer, guide price and contract formation
The website, availability display and guide price do not yet constitute acceptance of an order. Route, vehicle class, shipment data and time window are checked before performance. An order becomes binding only after express confirmation. Stripe processes card payment data. A payment authorisation or captured payment method alone does not mean that x25pronto has already approved the order or finally captured the payment.
3. Services
x25pronto arranges, organises and performs direct and overnight courier trips in Germany. Depending on the approved vehicle and weight class, a car, van or van XL is used. Bookable shipments range from documents and small consignments to approved transports of up to 1,000 kg. The vehicle class, payload, dimensions and safe loading capacity approved in the specific booking always prevail.
4. Direct and overnight trips
For direct trips, the earliest requested delivery is calculated from pickup, real road travel time, routing reserve and personal handover and may fall on the following day for a late pickup. Overnight means requested delivery on the following calendar day within the enabled time windows. Minimum lead time determines only the earliest calendar date; full regular time windows apply from that date. Requested times are planning targets, not strict guarantees independent of circumstances.
5. Permitted and excluded shipments
Customers must state contents, weight, dimensions, value and special properties correctly and provide transport-safe packaging. Illegal goods, weapons, cash, live animals, inadequately packed goods and dangerous, temperature-controlled or regulated goods are excluded unless expressly approved in advance. Medical, diagnostic, pharmaceutical or other special shipments are accepted only after the concrete transport, packaging, safety, insurance and handover requirements have been clarified and approved.
6. Customer cooperation
Pickup and destination addresses, contacts, access, time windows, shipment data and handover instructions must be complete and correct. Additional effort caused by missing or incorrect information, inaccessible handover locations, waiting time, empty runs or later changes may be charged where legally permitted and objectively justified.
7. Price, discounts, VAT and payment
The transport price in EUR shown before completion, including displayed surcharges, discounts and VAT, is decisive. Promotions or new-customer discounts apply only under their displayed conditions. Net amount, VAT and gross amount are shown separately in accounting documents. Once the Stripe payment has been finally captured and the booking has been bindingly confirmed, the agreed transport price is due. Where cancellation is initiated solely by the customer, no cash refund or repayment of the invoiced transport price is due unless mandatory law requires otherwise; the credit rule in section 13 applies.
8. Independent courier partners
x25pronto may perform confirmed orders itself or offer them to verified independent courier partners. Partners remain legally and economically independent and bear their own vehicle, fuel, parking, operating and insurance risks. No minimum number or volume of trips or particular routes is guaranteed. Before accepting a special shipment, a partner must independently verify that its insurance and operational requirements cover the concrete assignment.
9. Courier partners, assignment data and standard terms
Courier partners used for a concrete trip receive the order, contact, route, schedule and shipment information needed for performance. Partner terms, evidence, complaint status and settlement data are processed for assignment and payout. Standard values of 75% partner share, an 8-day complaint period and a 14-day payout period may be stored differently for an individual partner in the database.
Unless individually different terms are stored in the database and displayed in the driver portal, the partner share is 75% of the transport price stored when the completed trip is assigned; 25% remains with x25pronto for brokerage, platform, organisation, administration and processing. Where a partner is VAT registered, partner VAT is additionally accounted for using the stored data. The individual terms shown in the driver portal govern that partner's assignments.
10. Completion, complaints and partner payout
Pickup and delivery evidence is recorded after proper trip completion. The standard contractual customer complaint period is 8 days after completion; mandatory statutory rights are not shortened. If a complaint is recorded, the partner payout remains blocked until documented resolution. As a standard, partner payout can be released no earlier than 14 days after completion, provided the complaint period has expired, required evidence is complete and no complaint remains open. Individually stored database periods prevail for the relevant partner.
11. Handover and evidence
Unless agreed otherwise, the shipment is handed to the agreed recipient or to a person at the destination who can reasonably be regarded as authorised to receive it. Customers must ensure reachable contacts. Failed delivery, return transport or extra waiting time may incur additional costs. Pickup and delivery evidence may be retained for contract handling and complaint resolution.
12. Schedule, traffic and force majeure
Confirmed orders are planned with reasonable commercial care. Traffic, weather, closures, official measures, breakdowns, accidents, incorrect customer information or other events beyond reasonable control can cause delays. Where possible, the customer is informed and a practical solution coordinated.
13. Changes, customer cancellation and credit
Changes after confirmation require renewed review. A customer cancellation of a bindingly confirmed and paid booking must be submitted exclusively in writing by email to info@x25pronto.ch. The email must state the relevant order or booking number in the format X25-YYYYMMDD-##### and the reason for cancellation. To qualify for the voluntary credit, the email must be received before the agreed pickup time and the transport service must not yet have started.
For such a customer cancellation, the invoiced gross transport price is not paid out or refunded to the payment method. Instead it may be credited once against the next eligible trip of the same customer or customer account, provided that the replacement trip is bindingly booked and performed within four weeks after receipt of the cancellation email. Any higher price for the replacement trip remains payable; if the replacement trip is cheaper, any unused balance expires when that replacement trip is performed. If no replacement trip is used within four weeks, the credit expires without compensation and the amount already received remains with Management Consulting Mayr / x25pronto as the agreed cancellation compensation.
Once the transport service has started, or where the cancellation email is received only after the agreed pickup time, there is no entitlement to this credit. Mandatory statutory rights remain unaffected, as do cases in which x25pronto itself cannot perform a bindingly confirmed service and a reversal is required by law or contract.
14. Liability
x25pronto remains liable where Swiss law is mandatory. Liability for intent, gross negligence and mandatory personal-injury liability is not excluded. To the extent permitted by law, liability for slight negligence, indirect or consequential loss, lost profit and loss caused by incorrect customer information or unsuitable packaging is excluded. Visible damage or deviations should be reported promptly and, at the latest, within the contractual complaint period with suitable evidence.
15. Privacy and communications
Personal data are processed in accordance with the privacy notice. Contract-related notices may be sent electronically to stored contact details. The AI Bot is an additional information function and does not replace a binding order confirmation.
16. Law and jurisdiction
Swiss law applies. To the extent legally permitted, the courts of Wil SG have jurisdiction. Mandatory consumer rights and mandatory places of jurisdiction remain reserved.
